1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of 805combatsports.com and any services provided by 805 Combat Sports LLC ("we," "us," or "our"). By using our website, submitting a form, booking a trial class, or enrolling in any program, you agree to these Terms. If you do not agree, do not use our services.

If you are booking or enrolling on behalf of a minor, you confirm you are that child's parent or legal guardian and you accept these Terms on their behalf as well as your own.

2. Programs and Services

We offer Brazilian Jiu-Jitsu (gi and no-gi), Muay Thai kickboxing, women's self-defense, and fitness instruction for kids, teens, and adults. Program slate, age bands, and class lengths are listed on our website. Schedules, class lengths, and instructor assignments may change. Current details are posted at the academy and on our website, and the posted schedule at the academy controls if the two ever differ.

3. Trial Class

Our entry offer is a single trial class: one age-appropriate class, one hour, for $59.99.

  • The fee is charged when you book and covers that one class only.
  • The trial does not auto-convert to a paid membership. No recurring charges are initiated by the trial.
  • Rescheduling: you may reschedule once at no charge with at least 24 hours' notice, by phone, text, or the link in your confirmation.
  • Cancellation and refunds: cancel with at least 24 hours' notice for a full refund. Inside 24 hours, the fee is non-refundable but we will credit it toward a future class at our discretion.
  • No-shows: if you do not attend and did not cancel, the fee is forfeited.
  • We cancel: if we cancel a class for any reason, you receive a full refund or a rescheduled slot, whichever you prefer.
  • After your trial class, you are under no obligation to enrol.

4. Payment Terms and Automatic Renewal

  • By providing payment details you authorise us, or our payment processor, to charge the amounts due.
  • You are responsible for keeping payment details current. Failed or declined payments may result in suspension of access until the balance is settled, and we may charge a reasonable fee for returned payments where permitted by law.
  • Prices may change. We will give at least 30 days' notice before a change affects an existing membership.
  • All fees are stated in US dollars and are exclusive of any applicable taxes.

Automatic renewal notice (California Business and Professions Code §17600 et seq.)

Memberships renew automatically until you cancel.

  • Your membership continues on the recurring billing cycle stated in your membership agreement, and your payment method is charged automatically each cycle until you cancel.
  • The renewal charge is the amount stated in your membership agreement, unless we have given you at least 30 days' advance notice of a change.
  • Before you are charged for the first time, we present the auto-renewal terms, the recurring amount, the billing frequency, and the cancellation method clearly and separately, and we obtain your affirmative consent to them. We send you an acknowledgement containing those terms and instructions for cancelling.
  • Where the law requires it, we send a reminder before a renewal takes effect.

How to cancel. You may cancel at any time, effective in line with the notice period in your membership agreement, by any of these methods:

  • Email 805combatsports@gmail.com with the word "cancel" and your name
  • Call (805) 263-1553 during open hours
  • Tell the front desk in person and ask for written confirmation

We will confirm cancellation in writing. We will not require you to complete any step that is more difficult than the step you took to sign up, and we will not require an in-person visit to cancel a membership you started online or by phone.

5. California Health Studio Services Contracts

Our memberships are health studio services contracts under California Civil Code §1812.80 et seq. The following rights apply and cannot be waived. If anything in these Terms or in a signed membership agreement conflicts with them, these rights control.

Your three-day right to cancel

You may cancel a membership contract, without penalty or obligation, until midnight of the third business day after the day you sign it. To cancel, deliver written notice to 805 Combat Sports LLC, 1407 E. Los Angeles Ave, Unit J, Simi Valley, CA 93065, or email 805combatsports@gmail.com. If you cancel within this period, we refund all money you paid within the time the law requires. The written cancellation notice required by law is included with the membership agreement you sign.

Cancellation for disability, relocation, or death

You may also cancel and receive a pro-rata refund of unused amounts if:

  • Disability. You become physically unable to use a substantial portion of our services for 30 days or more, confirmed by a physician's written statement.
  • Relocation. You move more than 25 miles from our facility and cannot transfer the contract to a comparable facility.
  • Death. In the event of a member's death, the contract terminates and the estate is not liable for further payments. We refund unused amounts.
  • We close or relocate. If we go out of business, or move so that our services are no longer available within 25 miles of your home, the contract terminates and unused amounts are refunded.

Contract length

No membership contract with us exceeds the maximum term permitted by California law.

6. Memberships

Membership terms, pricing, billing cycles, and cancellation procedures are confirmed at enrolment and set out in the membership agreement you sign. By signing a membership agreement you accept its specific terms, which control over any conflicting terms in this document, except for the rights in §5, which are set by California law and cannot be overridden by any agreement, including one you sign.

As of the date above, memberships generally carry a one-year commitment with a 30-day cancellation notice period, and recurring billing is processed through our billing provider. The signed membership agreement is the controlling document for your specific plan, rate, and cancellation terms.

Membership is personal to you and may not be transferred, shared, or resold.

7. Assumption of Risk, Health, and Safety

Please read this section carefully.

Martial arts training is a physical contact activity that carries an inherent and unavoidable risk of injury. That risk includes, without limitation: bruises, strains, sprains, cuts, dental injury, joint injury, concussion, broken bones, and in rare cases catastrophic injury. Grappling and striking involve deliberate physical contact with training partners of differing size, strength, and experience.

By training with us, or by enrolling a minor, you acknowledge and voluntarily accept those risks.

Your responsibilities:

  • You confirm you are in adequate physical condition to participate, and that you have consulted a physician if you have any doubt.
  • You must disclose relevant injuries, medical conditions, pregnancy, or medications to your instructor before training, and keep that disclosure current.
  • You must follow all safety instructions from instructors immediately and without argument, and stop when told to stop.
  • You must tap or verbally signal to end a technique, and must release immediately when your partner signals.
  • You must not train while impaired by alcohol or drugs.

We are not a medical provider. Nothing said by our instructors or published on our website is medical advice.

A separate written waiver and release of liability must be signed before your first class on the mat. That signed waiver operates alongside these Terms.

8. Minors, Supervision, and Media

Minors. Enrolment of anyone under 18 must be completed by a parent or legal guardian, who accepts these Terms, the assumption of risk in §6, and the signed waiver on the minor's behalf. Guardians are responsible for dropping off and collecting children punctually and for informing us of anyone not authorised to collect a child.

Photography and video. We photograph and film classes, events, and promotions, and we publish some of that material on our website and social media. By training with us, or by enrolling a minor, you consent to that use without compensation.

Opting out. You may withdraw that consent at any time by writing to 805combatsports@gmail.com. Tell us who to exclude and we will stop using new material featuring that person and remove existing material from our own website and social accounts within a reasonable period. We cannot recall material already redistributed by third parties.

9. Academy Conduct

Visitors and members agree to follow academy rules posted on premises, treat staff and other students with respect, maintain proper hygiene and clean training attire, and follow safety instructions from instructors at all times.

We reserve the right to refuse service, suspend, or terminate membership for conduct that endangers others, harasses or intimidates any person, damages property, or repeatedly breaches academy rules. Where termination is for cause, refunds are at our discretion.

10. Website Use and Disclaimer

Our website is provided "as is" and "as available." We make reasonable efforts to keep schedules, pricing, and program details accurate, but the website may contain errors or be out of date, and the information posted at the academy controls. We do not warrant that the site will be uninterrupted or error-free.

You agree not to misuse the site, including by attempting to gain unauthorised access, scraping content at scale, or interfering with its operation.

11. Intellectual Property

All content on 805combatsports.com (text, images, logos, videos) is the property of 805 Combat Sports LLC or its licensors and may not be reproduced without permission. Carlos Machado Jiu-Jitsu names and marks are used with permission of their owner and remain their property.

12. Limitation of Liability

To the maximum extent permitted by California law, 805 Combat Sports LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including lost profits or lost data, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of our services is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim.

California limits. Under California Civil Code §1668, a contract cannot exempt anyone from responsibility for their own fraud, wilful injury, or violation of law, whether wilful or negligent. Nothing in these Terms, in any membership agreement, or in any waiver you sign attempts to do so. California courts also do not enforce releases for gross negligence. Accordingly, nothing here excludes or limits our liability for fraud, wilful misconduct, gross negligence, or any other liability that California law does not permit us to limit.

What these Terms and our signed waiver do cover is the ordinary risk inherent in martial arts training, described in §7, which you voluntarily assume. Specific liability, waiver, and assumption-of-risk terms are also set out in the membership agreement and signed waiver.

13. Indemnification

You agree to indemnify and hold harmless 805 Combat Sports LLC, its officers, employees, instructors, and contractors from claims, damages, and reasonable legal costs arising out of your use of our services, your breach of these Terms, or your violation of any law or the rights of a third party.

14. Dispute Resolution and Governing Law

Talk to us first. If you have a dispute, contact us at 805combatsports@gmail.com so we can try to resolve it directly. Most issues are settled with a conversation. Please allow 30 days before commencing formal proceedings.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Ventura County, California.

16. General

  • Severability. If any provision is held unenforceable, the rest remains in full force and the unenforceable provision is limited to the minimum extent necessary.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for failure to perform due to causes beyond our reasonable control, including natural disaster, fire, utility failure, public-health order, or government action.
  • Entire agreement. These Terms, together with our Privacy Policy and any signed membership agreement and waiver, are the entire agreement between us. Where they conflict, the signed membership agreement and waiver control.

17. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Continued use of our services after a change takes effect constitutes acceptance of the revised Terms.
